By accessing or using the services provided by Kalp-AI Labs Inc. ("Kalp-AI Labs," "we," "us," or "our"), including the AYRA Concierge OS platform, website at kalpailabs.com, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").
If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
Kalp-AI Labs provides an autonomous AI-powered guest concierge operating system ("AYRA Concierge OS") designed for luxury and boutique hotels. Our services include:
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at info@kalpailabs.com of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or remain inactive for extended periods, with reasonable notice where possible.

The Services, including the AYRA Concierge OS platform, its algorithms, user interfaces, documentation, branding, and all related intellectual property, are and shall remain the exclusive property of Kalp-AI Labs Inc. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use the Services as described herein.
You retain ownership of any content (hotel data, property information, brand assets) you provide to us for platform configuration. By providing this content, you grant us a limited, non-exclusive license to use it solely for the purpose of delivering the Services.
We strive to maintain 99.9% platform uptime. However, the Services may be temporarily unavailable due to scheduled maintenance, emergency updates, or circumstances beyond our control. We will provide reasonable advance notice of planned downtime when possible.
Specific service level agreements (SLAs) for enterprise clients will be outlined in separate commercial agreements.
Pricing for the AYRA Concierge OS platform is determined on a per-property basis, detailed in individual commercial agreements. All fees are non-refundable except as required by applicable law or as explicitly stated in your service agreement.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless Kalp-AI Labs, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Kalp-AI Labs makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after changes indicates acceptance of the updated Terms.
